Reference is made to the announcement issued by Air China Limited (the “Company”) on 15 January 2010 (the “Announcement”).

The Company has learned from its controlling shareholder, China National Aviation Holding Company ("CNAHC"), that CNAHC is contemplating the injection into the Company of RMB1.5 billion of state-owned capital operation budget (as set out in the Announcement) it has received, and in the meanwhile, the Company is considering the arrangement in relation to potential private placements of its shares (collectively, the "Project").

The Company will make policy consultation, and conduct feasibility study of the Project, with the relevant authorities following the publication of this announcement. There are uncertainties over the relevant matters of the Project.

In order to protect the interests of the investors, ensure the fair disclosure of information and avoid causing material impact on the share price of the Company, the Company has requested suspension of trading in the Company's shares from 26 February 2010 onwards.

The Company will make consultation, and conduct feasibility study of the material issues of the Project, with the relevant authorities, and will make a separate announcement and apply for the resumption of trading of its shares within 10 business days from 26 February 2010 (including such date). During the period of suspension, the Company will make announcement once a week on the progress of the Project.
