Ferrovial sells 5.88% of BAA
10-Oct-2011 In accordance with the provisions of article 82 of the Securities Market Law (Ley del Mercado de Valores), and further to the Significant Information sent on October 22nd, 2010 (registration number 131,855), FERROVIAL, S.A. (the "Company" or "FERROVIAL") hereby notifies the Comisión Nacional del Mercado de Valores of the following:
Ferrovial, indirect shareholder of 55.87% of BAA Ltd., has reached an agreement with two investment vehicles managed by Alinda Capital Partners (Alinda), for the sale of a 5.88% stake in FGP Topco Ltd., BAA, for a price of GBP 280 million (EUR 325 million).Further to the sale, Ferrovial will hold an indirect stake of 49.99% in BAA. The remaining shareholders are Britannia Airport Partners LP (26.48%) and GIC (17.65%). A representative of Alinda will join the board of FGP Topco Ltd. and the board of BAA.
The sale is unconditional and closing is expected to take place by the end of October.
