Pursuant to section 28a of the Danish Securities Trading Act, Cimber Sterling Group A/S is required to file information on transactions in Cimber Sterling Group A/S' shares and related securities by officers of the Company and their related parties.
Cimber Sterling Group A/S (the "Company") received notification from Bardin ApS, cf. below, Koch & Nielsen ApS, cf. below and Helenia Holding ApS, stating that:
Bardin ApS has transferred shares with a nominal value of DKK 416,667 in the Company to Karsten Ree Holding ApS
Koch & Nielsen has transferred shares with a nominal value of DKK 416,666 in the Company to Karsten Ree Holding ApS
Helenia Holding ApS has transferred shares with a nominal value of DKK 416,667 in the Company to Karsten Reee Holding ApS
Following these transactions, Bardin ApS holds shares with a nominal value of DKK 5,583,333 in the Company (equivalent to 12.27% of the Company's share capital), Koch&Nielsen ApS holds shares with a nominal value of DKK 5,583,334 in the Company (equivalent to 12.27% of the Company's share capital), Helenia Holding ApS holds shares with a nominal value of DKK 5,583,333 in the Company (equivalent to 12.27% of the Company's share capital) and Karsten Ree Holding ApS holds shares with a nominal value of DKK 6,255,000 in the Company (equivalent to 13.75 % of the Company's share capital) .
The Company concurrently received notification from SEB Enskilda that SEB Enskilda has given its consent to the above mentioned transactions irrespective of the lock-up agreement.
Finally, SEB Enskilda has given its consent that Bardin ApS, Koch&Nielsen ApS and Helenia Holding ApS can sell an aggregate up to 250,000 additional shares in the Company in the market.
